1. GRANT OF LICENSE

1.1 The current holder of this NFT (“Licensee”) is granted an exclusive, non-commercial sync license to use the audio track titled “Is God Always Watching?” in video, film, broadcast, radio, and interactive media content, including but not limited to:

– YouTube,
– TikTok,
– Vimeo,
– Wistia,
– Dailymotion,
– Rumble,
– Instagram,
– Twitch
– Discord
– television broadcasts,
– radio broadcasts,
– cinematic releases,
– streaming platforms,
– gaming environments and games,
– any URL or digital property owned and operated by the Licensee.

1.2 This license permits synchronization of the music with visual or interactive content—including edits, overlays, and incorporation into linear or non-linear media formats. It does not permit redistribution, resale, extraction, or standalone re-recording of the track outside the synced work.

1.3 The Licensee may earn revenue or monetization from content incorporating the licensed music—whether via streaming platforms, ad-supported broadcasts, theatrical distribution, gaming revenue, or platform-based monetization—provided that all other terms of this license are upheld.

2. USAGE TERMS

2.1 The music may not be used on platforms or in contexts other than those listed in Section 1.1. Any platforms, broadcast channels, streaming services, or distribution methods not expressly named in Section 1.1 are considered unapproved unless added by the Licensor in writing.

2.2 This license does not grant rights for use in:

– Third-party advertising or sponsored content,
– Commercials,
– Paid brand campaigns,
– Political messaging,
– Any form of standalone audio distribution (e.g., uploading the track by itself to music platforms).

These uses remain prohibited regardless of medium (TV, radio, film, gaming, digital, or otherwise).

2.3 The Licensee may promote their own content, projects, or brand using the licensed music across any approved platform or medium listed in Section 1.1, provided such usage does not function as advertising for another brand, product, or external entity.

2.4 If content using the licensed music is shared, embedded, rebroadcast, or algorithmically distributed onto platforms not listed in Section 1.1 by third parties, this shall not be considered a breach—so long as the Licensee did not directly authorize, upload, or distribute the content to those unapproved platforms themselves.

3. Transferability

3.1 This license is tied directly to ownership of the corresponding NFT. When the NFT is transferred, the sync license and all associated rights automatically transfer to the new holder.

3.2 Upon transfer of the NFT, all rights for the previous holder immediately terminate for any new content created after the transfer date.

3.3 The previous holder may continue to use content created before the transfer—across any approved platforms, media, or formats—provided such content complies with this agreement and remains hosted or distributed within approved channels.

4. COPYRIGHT & OWNERSHIP

4.1 Copyright remains with the composer, Knack Publishing LTD.

4.2 This license does not grant:

– Ownership of the master recording
– Publishing or composition ownership
– The right to distribute the music as a standalone file
– Any rights beyond those explicitly stated in this agreement

5. TERM

5.1 This license remains valid only for as long as the Licensee owns the corresponding NFT. Loss or transfer of NFT ownership immediately revokes all permissions for future uses.

6. DISCLAIMER & LIMITATION OF LIABILITY

6.1 The music is provided “as is” without warranties of any kind, including but not limited to fitness for a particular purpose or compatibility with specific platforms, broadcasters, gaming engines, or distribution systems.

6.2 The Licensor makes no guarantees regarding:

– Platform or broadcaster acceptance
– Content takedowns or Content ID claims
– Third-party rights disputes
– Monetization or revenue outcomes
– Service or platform disruptions
– Integration with gaming engines or film post-production tools

6.3 The Licensor shall not be liable for indirect, incidental, consequential, or punitive damages arising from use of the music, regardless of medium (digital, broadcast, theatrical, gaming, or otherwise), even if previously advised of such risks.

7. GOVERNING LAW

7.1 This License Agreement is governed by the laws of England and Wales.

7.2 Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
